Terms of Service
These Terms govern services that you order from us under an agreement that expressly incorporates them. They apply to business and individual customers. Browsing this website, using an estimator or sending an inquiry does not purchase a service or accept a paid subscription.
1. Who we are and how an agreement is formed
The operator identified on this page is the service provider. “You” means the customer identified in an accepted order; “Services” means the software, access and related services specified in that order. A person accepting for an organization must have authority to bind it. An individual must have legal capacity to enter the agreement, or act through a legally authorized representative.
An order becomes binding only when both parties expressly accept it, including through an agreed electronic acceptance process. Before acceptance, the order must identify the supplier, purchased scope, price and currency, taxes, billing cycle, term, renewal and cancellation conditions, support coverage, and required local disclosures. We will not complete a sale where required supplier information or purchase protections have not been provided. This website does not currently offer self-service purchasing.
A signed agreement expressly varying these Terms takes priority for that customer. For personal-data processing, the applicable Data Processing Addendum and mandatory transfer terms take priority over conflicting general terms. Our Acceptable Use, AI and support policies apply to the relevant purchased services. The Privacy Policy describes our own processing; it is not consent to optional analytics.
2. Availability, lawful refusal and trade restrictions
We consider requests from businesses and individuals internationally, subject to legal restrictions, supported locations, service suitability and availability. Subject to applicable law, we may decline an order for compliance, security, fraud-prevention, capacity or other legitimate business reasons. We do not reserve a right to discriminate unlawfully. If we decline after taking payment, we will refund amounts for services not supplied, unless law prohibits returning the funds.
You must comply with applicable US export-control and economic-sanctions laws and other applicable trade restrictions. You must not access, use, export, re-export, transfer or make Services available to a person, location or end use where prohibited without required authorization, or circumvent those restrictions. We may request information reasonably needed for compliance and restrict access where required by law. A country’s omission from a website list is not permission for a prohibited transaction.
3. What you purchase
Your order identifies the modules, supported environments, quantities, region and service commitments supplied. Illustrations, demonstrations, roadmaps and pricing estimates do not establish that a particular feature is deployed, certified or included. Any trial or preview has only the scope, duration and conditions expressly disclosed before you accept it; it does not automatically become paid without your informed agreement.
We may maintain and update Services. We will not use a policy update to remove an expressly purchased material commitment during its agreed term without an applicable contractual basis or your agreement. If we cannot provide a material paid service and cannot reasonably remedy the problem, you may terminate the affected service and receive any refund required by your agreement or applicable law.
4. Access, authorization and security
- We grant a limited, non-exclusive right to use the purchased Services during the agreed term, within the agreed scope and these Terms. Any right to administer systems for clients must be included in your authorized use.
- Keep account information accurate, protect credentials, use the available security controls appropriate to your risk, and promptly notify us of suspected compromise. You remain responsible for users you authorize, but not for losses that mandatory law places on us.
- Only connect, monitor, access, back up or modify systems and information you are entitled to manage. Obtain permissions and provide notices required for employees, clients and other individuals.
- Do not circumvent access controls, resell access outside your agreed rights, or copy, decompile or reverse engineer the Services except where an applicable law expressly permits it.
5. Prices, billing and changes
Pay the fees and applicable taxes disclosed in your accepted order. Usage charges apply only under the measurement method and rate schedule you accepted. A website estimate is not a charge authorization. Third-party licenses, infrastructure, AI-provider charges and other pass-through costs are included only if the order expressly says so.
An automatic renewal applies only if its interval, recurring charge or calculation, cancellation process and any trial conversion were clearly disclosed and expressly accepted. We will provide notices and renewal reminders required by applicable law. A price increase takes effect at renewal after advance notice and an opportunity to decline renewal, unless a lawful adjustment method already accepted in your order or your fresh express agreement permits another effective date. It does not retrospectively change charges already earned.
Tell us promptly if you dispute an invoice, with enough information to investigate. Contacting us does not waive chargeback or other statutory rights. We may pursue unpaid, undisputed charges and restrict service after reasonable notice and an opportunity to resolve nonpayment, except where urgent lawful action is needed. Suspension is not automatic deletion of customer data.
6. Cancellation, withdrawal and refunds
You can give a cancellation or non-renewal instruction through the legal email on this page, identifying the account and service. You do not have to explain why. We will record your non-renewal instruction when received, confirm it electronically and stop renewal at the end of the current agreed term. Requests to withdraw or terminate earlier take effect as provided by your agreement or applicable law. Cancellation stops future renewals; it does not itself erase fees validly earned for an agreed term.
Any online subscription enrollment must also provide the cancellation mechanism required by applicable law. Where an online withdrawal function is legally required, it must be available through the contracting service during the withdrawal period. This informational website does not offer an online subscription contract or represent that an account cancellation control exists here.
If you are an eligible consumer, mandatory cooling-off, withdrawal, conformity and refund rights apply. For example, qualifying EEA or UK distance-service contracts generally allow withdrawal within 14 days of conclusion. Merely logging in or accessing a continuing service does not automatically waive that right. Charges for early performance, or loss of a withdrawal right, apply only where the relevant legal conditions, disclosures and express requests have been satisfied.
To exercise withdrawal, send a clear statement that you wish to withdraw, with your name, account or order reference, and contract date if known, to our legal contact. No special wording is required. We will make required refunds within the applicable legal deadline, using the original payment method unless law permits and you agree otherwise. Nothing here creates a blanket no-refund rule or reduces remedies for defective, misdescribed or undelivered services.
7. Your information, intellectual property and confidentiality
You retain ownership of your data. You grant us only the rights needed to host, transmit, process and otherwise handle it to supply the agreed Services, follow lawful instructions, protect the Services and meet legal obligations. Personal data processed on your behalf is subject to the applicable DPA. We do not acquire a right under these Terms to sell your customer data or use confidential customer content for general-purpose AI model training.
We and our licensors retain the Services, software, documentation and related intellectual property. Third-party and open-source components remain subject to their applicable licenses. You may copy public documentation for lawful evaluation and internal use, keeping attribution; this does not grant a trademark license or a right to imply our endorsement.
Each party must protect the other’s non-public information identified as confidential or reasonably understood to be confidential, use it only for the relationship, and disclose it only to people or advisers with a need to know and appropriate confidentiality duties. This does not cover information lawfully public, independently developed, already lawfully known, or received lawfully without restriction. A legally compelled disclosure must be limited to what is required, with notice when lawful.
If you voluntarily provide non-confidential suggestions, we may use them to improve our Services without payment or attribution. Do not include third-party confidential information in feedback. This permission does not override the Privacy Policy or DPA.
8. Dependencies, automation and service assurances
You are responsible for the legality and suitability of your configurations, customer instructions and connected third-party accounts. Provider outages, API limits and changed permissions can affect connected workflows. Separate providers’ terms apply to their services; these Terms do not grant us authority to change your contract with them.
We will provide agreed Services with reasonable care and skill. No general website statement guarantees uninterrupted operation, complete threat prevention, error-free AI, recovery of every file or fitness for an undisclosed use. Confirm recovery requirements and test restores before relying on a backup workflow. Support commitments are those expressly agreed, not an implied 24-hour service.
Except for express contractual commitments and rights that cannot lawfully be excluded, Services are supplied without additional implied warranties to business customers, including implied merchantability and fitness for a particular purpose where lawful. This exclusion does not apply to non-excludable consumer guarantees. AI and automation use also remains subject to the separate AI policy.
9. Liability and mandatory protections
For business customers only, to the extent permitted by law and unless a signed agreement provides otherwise, neither party is liable under this agreement for indirect or consequential loss, lost profit or lost business opportunity. Each party’s aggregate liability arising from the agreement is limited to fees paid or payable for the affected Services during the 12 months before the event giving rise to liability.
Those business limitations do not limit fraud, fraudulent misrepresentation, willful misconduct, gross negligence, liability for death or personal injury caused by negligence, payment obligations, infringement or misappropriation of the other party’s intellectual property, or any liability that applicable law prohibits limiting. A limitation cannot reduce a data subject’s statutory rights or a regulator’s powers.
The business-only exclusions and cap do not apply to consumers. Nothing in these Terms excludes, restricts or modifies a consumer right, remedy, guarantee or liability that applicable law does not permit us to exclude, restrict or modify, including applicable Australian consumer guarantees. Each party remains responsible to the extent required by mandatory law.
10. Suspension, termination and your data
We may restrict the affected access promptly where reasonably necessary to address a credible security threat, unlawful activity or binding legal requirement. Otherwise, we will give reasonable notice of a material breach and an opportunity to remedy it before terminating for that breach. We will explain the reason and review process where lawful and reasonably practicable.
Either party may terminate for an unremedied material breach or as otherwise allowed in the accepted order or applicable law. If we end prepaid service for our convenience rather than your breach, we will refund the unused prepaid portion unless a lawful, expressly agreed arrangement provides a more favorable remedy. We will not retain payment for a refused or prohibited service when a refund is legally required.
On exit, access rights end according to the agreed offboarding process. Arrange export, handover and third-party disconnection before access ends. We will handle customer personal data under the DPA, lawful preservation duties and applicable retention terms; disabling an account is not proof that every copy has been deleted. Accrued payment duties, confidentiality, ownership, lawful liability provisions and dispute terms survive as needed.
11. Law, complaints and changes
Contact our legal email address to raise a concern. This does not prevent urgent court action, a regulator complaint or exercise of any statutory right. Delaware law governs the agreement except where mandatory law requires otherwise. Business disputes may be brought in courts of competent jurisdiction in Delaware, subject to any signed dispute clause.
If you are a consumer, the choice of Delaware law does not deprive you of mandatory protections in your place of habitual residence, and you may bring proceedings in any court available under applicable mandatory law. These Terms do not impose mandatory arbitration or a class-action waiver.
We will date updated Terms and provide legally required notice. Changes apply to future orders or renewals following appropriate notice and acceptance, not retroactively to existing claims. A signed agreement may specify another valid change process. If a provision is unenforceable, the remaining provisions continue only to the extent lawful; we will not rewrite an unfair consumer term to remove a statutory protection. Delay in enforcing a right is not a waiver. Neither party may transfer the agreement in a way that unlawfully reduces the other’s rights.
